1. About These Terms
These Terms & Conditions ("Terms") govern the use of this website and the provision of IT services by Vorpalex Limited ("Vorpalex", "we", "us") to business clients ("Client", "you"). By engaging our services or using this website, you agree to these Terms.
2. Our Services
Vorpalex provides information technology services, including custom software development, cloud infrastructure and DevOps, IT consulting, system maintenance and support, and related technical services. The specific scope, deliverables, timeline, and price of each engagement are defined in a written proposal, statement of work, or service agreement agreed with the Client before work begins.
3. Quotes and Orders
- All quotes are valid for 30 days unless stated otherwise.
- Work commences only after written acceptance of a proposal and, where applicable, receipt of the agreed deposit.
- Changes to agreed scope must be confirmed in writing and may affect price and timeline.
4. Prices and Payment
- Prices are stated in the proposal in GBP or EUR as agreed, exclusive of any applicable taxes.
- Unless agreed otherwise, projects are billed in milestones: a deposit before commencement, and the balance on delivery of agreed milestones.
- Invoices are payable within 14 days of the invoice date by bank transfer to the account stated on the invoice.
- We reserve the right to suspend work on overdue accounts and to charge statutory interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Cancellations and Refunds
- Either party may cancel an engagement with 14 days' written notice.
- On cancellation, the Client pays for all work completed up to the cancellation date. Any unused portion of prepaid fees for work not yet performed will be refunded within 14 days.
- Deposits cover project setup and reserved capacity and are non-refundable once work has commenced, except where we fail to deliver as agreed.
6. Client Responsibilities
The Client agrees to provide timely access to information, materials, credentials, and feedback reasonably required to perform the services, and warrants that materials supplied to us do not infringe third-party rights.
7. Intellectual Property
- Upon full payment, all deliverables created specifically for the Client — including source code, designs, and documentation — are assigned to the Client.
- We retain rights to pre-existing tools, libraries, and know-how, which are licensed to the Client for use within the deliverables.
- Open-source components remain subject to their respective licences.
8. Confidentiality
Each party will keep confidential all non-public information received from the other in connection with an engagement and use it only for the purposes of that engagement. This obligation survives termination.
9. Warranties and Support
We warrant that services will be performed with reasonable skill and care. We will correct defects in deliverables reported within 30 days of delivery at no additional charge. Ongoing support beyond this period is available under a separate maintenance agreement.
10. Limitation of Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law. Subject to that, our total liability arising out of an engagement is limited to the fees paid by the Client for that engagement, and we are not liable for indirect or consequential losses, loss of profit, or loss of data (provided we have followed agreed backup procedures).
11. Data Protection
We process personal data in accordance with UK GDPR and the Data Protection Act 2018 as described in our Privacy Policy. Where we process personal data on the Client's behalf, the parties will enter into a data processing agreement.
12. Website Use
Content on this website is provided for general information. We may update the website and these Terms at any time. You may not use this website unlawfully or attempt to interfere with its operation.
13. Governing Law
These Terms and any engagement are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
